We are seeking a Contracts Administrator and Assistant to the General Counsel.  This position will report to the General Counsel and be responsible for supporting a variety of contracts.

Essential Duties and Responsibilities:

  • Support the General Counsel in a broad variety of transactions and agreements, including commercial and US Government contracts, throughout the agreement lifecycle. This includes fact-gathering, collaboration with internal and external stakeholders; negotiations; performance execution management and records retention.
  • Oversee nondisclosure agreements process; ensure NDA terms and conditions are negotiated within company guidelines and provide related advice as needed.
  • Manage internal contract approval, documentation flow, execution, reporting and archiving consistent with internal processes
  • Input customer purchase orders; create sales orders from customer purchase order.
  • Enter and manage data in contract management system and ensure data is accurate.
  • Analyze contractual requirements to ensure compliance with appropriate laws, regulations, and company policies and procedures.
  • Support development, improvement and maintenance of contract templates.
  • Support proposal preparation.
  • Serve as a legal resource to executives and senior management and liaison between General Counsel and internal and external customers.
  • Assist with development, negotiation and execution of consultant and subcontractor/vendor agreements and other standard and non-standard business agreements.
  • Prepare or assist in preparing entity organization charts.
  • Provide guidance to management and staff on contractual process.
  • Assist General Counsel with export control, ITAR/EAR reviews, to ensure appropriate handling of export controlled data.
  • Develop and maintain effective relationships with General Counsel and other Company internal stakeholders to facilitate business transactions, and resolution of contract issues, including process and technology.
  • Assist in educating/training on key commercial, legal, corporate policy, contracting process technology, and other considerations.
  • Manage law firm invoices for review and payment, as well as resolving billing issues in cooperation with the General Counsel.
  • Manage entity filings with the Secretary of State.
  • Receive and organize incoming legal tasks.
  • Other duties as assigned.

Desired Skills and Experience:

  • Bachelor’s Degree with 4+ years of experience in contracts-related field.
  • Microsoft Office, Excel, Powerpoint.
  • Strong analytical, qualitative skills and critical thinking abilities.
  • Working Knowledge of FAR/DFAR clauses.
  • Negotiation experience with US Government (USG) and/or Prime Contractors to the USG.
  • Export licensing experience a plus.
  • Experience managing data rights assertions, negotiating licenses and other rights in data a plus.
  • Detail-oriented.
  • Ability to perform multiple tasks, organize and prioritize for optimum efficiency.
  • Ability to communicate and interact effectively with all levels of employees, management, customers and outside vendors.
  • Strong written and verbal communication skills.
  • Understanding of confidentiality and ability to maintain confidences, as with sensitive strategic or attorney-client privileged information.
  • Willingness and ability to perform routine tasks as well as to take on more involved/ sophisticated projects.
  • Ability to obtain and maintain security clearance.

Salary Range:

$80,000 - 110,000 per year
